TERMS OF SERVICE

OVERVIEW

Welcome to Alpha-Zulu Brand Strategists Inc. (“Alpha-Zulu”, “we”, “us”, or “our”).
Alpha-Zulu designs and operates custom-branded online stores (“Client Stores”) on behalf of business clients, enabling them to offer curated merchandise collections to their employees, customers, and partners. This website and any Client Store we manage (collectively, the “Services”) are operated by Alpha-Zulu and powered by Shopify.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree, you should not use or access our Services. These Terms govern all orders, transactions, and site use related to Alpha-Zulu-managed stores.

SECTION 1 – ACCESS AND ACCOUNT

By using our Services, you represent that you are at least the age of majority in your jurisdiction, or that you are authorized by your organization or a parent or guardian to do so.

When accessing or purchasing through our stores, you may be asked to provide certain information (such as your name, email, shipping, and billing details). You represent that all information you provide is accurate, complete, and current, and that you have authority to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not assign, sell, or transfer your account to another party.

SECTION 2 – OUR PRODUCTS

Many of our products are custom-decorated or made-to-order. We make every effort to display products accurately, but variations in color, texture, and appearance may occur due to lighting, materials, and screen settings.

All product descriptions and pricing are subject to change at any time without notice. We reserve the right to discontinue products, substitute equivalent items, or limit quantities at our discretion.

Because of the custom nature of our work, minor variations from digital proofs or samples are not considered defects.

SECTION 3 – ORDERS

When you place an order, you are making an offer to purchase. Alpha-Zulu reserves the right to accept or reject any order for any reason. Orders are not binding until payment has been processed and confirmed.

All custom-decorated orders are final sale unless defective or incorrectly fulfilled. Returns or exchanges are handled according to our Refund Policy.

You represent and warrant that your purchases are for authorized internal, promotional, or corporate purposes as intended by the sponsoring organization, and not for resale or redistribution.

SECTION 4 – PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service is the price in effect at the time the order is placed and confirmed. Unless stated otherwise, prices exclude taxes, shipping, handling, and customs duties.

You agree to provide current, complete, and accurate billing information, including valid payment details, and to update this information as necessary.

You represent that:

  1. You are authorized to use the payment method provided.

  2. All charges incurred will be honored by your payment provider.

  3. You will pay all applicable charges, taxes, and fees.

SECTION 5 – SHIPPING AND DELIVERY

We partner with multiple decorators, distributors, and logistics providers to fulfill orders. Estimated delivery times are provided for convenience only and are not guaranteed.

Once products are transferred to the carrier, title and risk of loss pass to you. Alpha-Zulu is not liable for delays, damage, or loss occurring in transit or due to events outside our control (including carrier delays, supply shortages, or customs processing).

SECTION 6 – CLIENT-BRANDED STORES

Alpha-Zulu may host or manage online stores branded under our clients’ names or domains. When you order from such a store, Alpha-Zulu is the merchant of record and responsible for fulfillment, payment processing, and customer support.

Our clients may provide Alpha-Zulu with limited personal information (such as names, emails, and shipping addresses) solely to enable authorized ordering. Your use of these Client Stores is governed by these Terms and any applicable client-specific policies that do not conflict with them.

SECTION 7 – INTELLECTUAL PROPERTY

All content in the Services—including trademarks, product images, text, graphics, and layouts—is owned by Alpha-Zulu, its affiliates, or licensors and protected under U.S. and international laws.

You may use the Services for lawful purposes only and may not reproduce, copy, modify, distribute, or exploit any content without prior written permission. Unauthorized use may violate copyright, trademark, and other intellectual property laws.

“Alpha-Zulu”, “Alpha-Zulu Brand Strategists”, and related logos and slogans are trademarks of Alpha-Zulu Brand Strategists Inc. Shopify and all other trademarks appearing in the Services are the property of their respective owners.

SECTION 8 – OPTIONAL TOOLS AND THIRD-PARTY LINKS

The Services may include links or integrations with third-party tools and websites. These are provided “as is” and “as available” without warranty or endorsement.

Alpha-Zulu has no control over third-party content and assumes no responsibility for their accuracy, availability, or privacy practices. Use of any third-party tools or links is at your own risk and subject to the third party’s terms.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Our stores are hosted on Shopify’s e-commerce platform, which provides the online infrastructure for our Services. However, all sales and purchases are made directly with Alpha-Zulu Brand Strategists Inc. Shopify is not a party to these transactions and bears no responsibility for products, fulfillment, or support.

SECTION 10 – PRIVACY POLICY

All personal information collected through the Services is governed by our Privacy Policy. Because our stores are hosted by Shopify, Shopify may also collect certain technical data about your interactions for hosting and analytics purposes.

Alpha-Zulu may process limited personal information (such as name, email, and shipping details) provided by you or by our clients solely for the purpose of fulfilling authorized orders.

SECTION 11 – FEEDBACK

If you submit reviews, ideas, or other content (“Feedback”), you grant Alpha-Zulu a perpetual, royalty-free, worldwide license to use and display that Feedback for operational or marketing purposes. You represent that you own or control all rights to any Feedback submitted.

We reserve the right to remove or refuse content that we determine to be unlawful, defamatory, obscene, or otherwise inappropriate.

SECTION 12 – ERRORS AND OMISSIONS

Occasionally, information in the Services may contain typographical errors or inaccuracies related to product descriptions, pricing, or availability. We reserve the right to correct such errors and cancel or modify orders as necessary.

SECTION 13 – PROHIBITED USES

You agree not to use the Services:

  • For any unlawful, fraudulent, or malicious purpose

  • To violate intellectual property rights

  • To upload or transmit malware or harmful code

  • To misrepresent your identity or affiliation

  • To interfere with or circumvent security features of the Services

Alpha-Zulu reserves the right to suspend or terminate access for any conduct deemed abusive or unlawful.

SECTION 14 – TERMINATION

We may terminate or suspend your access to the Services at any time, without notice, for any violation of these Terms or for any other reason. You remain liable for all amounts due through the termination date.

Sections concerning Intellectual Property, Feedback, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

SECTION 15 – DISCLAIMER OF WARRANTIES

Except as expressly stated by Alpha-Zulu, all products and services are provided “as is” and “as available.”
We make no warranties, express or implied, including merchantability, fitness for a particular purpose, durability, or non-infringement.

We do not warrant that the Services will be uninterrupted, timely, or error-free.
Because products are custom-made, all sales are final except for verified defects or errors caused by Alpha-Zulu.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, Alpha-Zulu, its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages—including lost profits, data, or revenue—arising from your use of the Services or products purchased through them.

Our total liability for any claim shall not exceed the amount paid by you for the specific order giving rise to the claim.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless Alpha-Zulu, Shopify, and their respective affiliates, officers, and employees from any claim or demand arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.

SECTION 18 – SEVERABILITY

If any provision of these Terms is held to be unlawful or unenforceable, the remaining provisions shall remain in full force to the maximum extent permitted by law.

SECTION 19 – WAIVER AND ENTIRE AGREEMENT

Failure to enforce any provision of these Terms shall not constitute a waiver.
These Terms, together with our posted policies, constitute the entire agreement between you and Alpha-Zulu regarding your use of the Services and supersede any prior agreements.

SECTION 20 – ASSIGNMENT

You may not transfer or assign your rights under these Terms without prior written consent. Alpha-Zulu may assign or delegate its rights and obligations without notice.

SECTION 21 – GOVERNING LAW

These Terms and all related transactions are governed by the laws of the State of California, without regard to conflicts of law. You and Alpha-Zulu consent to the exclusive jurisdiction of the courts of Los Angeles County, California.

SECTION 22 – CHANGES TO TERMS

We may update these Terms from time to time. The latest version will always be posted at https://alpha-zulu.com/policies/terms.
Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
